These Terms of Service ("Terms") govern your access to and use of the StrategyBox platform, websites, applications, and related services (collectively, the "Service") operated by [PLACEHOLDER: legal entity name] ("StrategyBox", "we", "us", "our").

IMPORTANT. StrategyBox is a technology provider. We do not provide investment advice, portfolio management, or brokerage services, and we do not take custody of your funds. Trading involves substantial risk of loss. Please read the Risk & Liability Disclaimer before connecting any trading account.

1. Acceptance of Terms

By creating an account, connecting a trading account, deploying a bot, or otherwise accessing or using the Service, you agree to be bound by these Terms, the Privacy Policy, and the Risk & Liability Disclaimer, which are incorporated by reference. If you do not agree, you must not use the Service.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

2. Definitions

• User / You — any natural or legal person who registers for and uses the Service.
• Trading Account — a third-party brokerage or exchange account (e.g., MetaTrader 5 via MetaApi, Binance, or Bybit) that you own and connect to the Service using API credentials.
• Connected Credentials — the API keys, login, server, or secrets you provide so that the Service can place and manage orders on your Trading Account.
• Bot — an automated trading strategy made available on the platform and managed by StrategyBox.
• Deployment — a running instance of a Bot bound to one of your Trading Accounts.
• Kill-Switch / Circuit Breaker — safety controls that halt trading for a Deployment, a User, or the entire platform.
• Fees — subscription fees and performance fees as described in Section 7.
• Balance-Days / Credit — the metering unit used to determine how long a Deployment may run based on your available credit.

3. Eligibility

To use the Service you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction, if higher).
• Have the legal capacity to enter into a binding contract.
• Not be located in, or a resident or national of, a jurisdiction subject to comprehensive sanctions or otherwise prohibited by the applicable regulatory position (currently including Iran (IR), North Korea (KP), Syria (SY), and Cuba (CU); see the Regulatory Classification).
• Not be barred from using the Service under any applicable law or the terms of your broker/exchange.

We may geo-block, restrict, or refuse the Service in any jurisdiction at our discretion where legal or regulatory requirements are not met.

4. Account & Security

You are responsible for maintaining the confidentiality and security of your account and for all activity that occurs under it.

You agree that:

• You will enable and maintain two-factor authentication (2FA) on your account. 2FA is strongly recommended for all users and may be mandatory for certain roles.
• API keys you connect must be withdrawal-disabled. You must create exchange/broker API keys with trading permission only and without the ability to withdraw or transfer funds. The Service verifies and rejects credentials that report withdrawal permission, but you remain responsible for the correct configuration of your keys.
• Where the platform provides a fixed set of outbound IP addresses, you should restrict your API keys to those addresses (IP allowlist) where your broker/exchange supports it.
• You will keep your password, 2FA device, and recovery methods secure and will notify us immediately of any suspected unauthorized access.

We store Connected Credentials using envelope encryption; see the Privacy Policy and Key Management for details. Notwithstanding our security measures, you acknowledge that no system is perfectly secure.

5. Description of the Service

StrategyBox provides a centralized platform that lets you:

• Connect Trading Accounts you own at supported third-party brokers/exchanges.
• Deploy and configure automated trading Bots that place and manage orders on your own connected Trading Account.
• Monitor performance, positions, equity, and profit/loss in real time.
• Manage subscriptions and billing.

The platform is a technology provider only. Bots execute orders directly on your Trading Account using the credentials you supply. We never take custody of your funds; your funds remain in your own broker/exchange account at all times. You retain full ownership of and responsibility for your Trading Account and the trades placed on it.

We may add, modify, suspend, or discontinue any Bot, feature, or supported broker/exchange at any time.

6. No Financial Advice

The Service, including any Bot, backtest, statistic, projection, dashboard, or communication, is provided for informational and execution purposes only and does not constitute financial, investment, legal, tax, or trading advice, nor a recommendation, solicitation, or offer to buy or sell any financial instrument. StrategyBox is not your broker, investment adviser, or fiduciary. You are solely responsible for your trading decisions and should consult a licensed professional where appropriate.

7. Fees & Billing

7.1 Subscription fees

Access to the Service may require a subscription. Subscription fees, plans, and included limits are described on our pricing pages and are billed in advance for the applicable period.

7.2 Performance fee with high-water mark

Certain plans include a performance fee calculated as a percentage of net trading profit generated by your Deployments. The performance fee is subject to a high-water mark (HWM): a performance fee is charged only on new profit that exceeds the highest previously recorded account value on which a fee has already been charged. No performance fee is charged on the recovery of prior losses until the account exceeds its high-water mark.

7.3 Metering (balance-days / credit)

Runtime of Deployments is metered in balance-days (credit). When your credit is exhausted, Deployments may be paused or safe-stopped. You are responsible for maintaining sufficient credit.

7.4 Crypto payment

Payments are processed in cryptocurrency via our payment provider (NowPayments). You are responsible for any network/transaction fees. Crypto payments are generally irreversible; amounts received are credited to your balance according to the confirmed on-chain value.

7.5 Invoices, taxes, and non-payment

We may issue invoices for subscription fees, performance fees, and any outstanding balance. You are responsible for all applicable taxes. Non-payment or negative balance may result in suspension of Deployments and/or termination.

7.6 No refunds

Except where required by law, fees are non-refundable.

8. Risk Acknowledgment

You acknowledge and accept the risks described in the Risk & Liability Disclaimer. You must affirmatively acknowledge the Risk Disclaimer (via the acknowledgment checkbox) before connecting a Trading Account or deploying a Bot. Trading is inherently risky and can result in the total loss of your capital.

9. Prohibited Use

You must not:

• Use the Service for any unlawful purpose, including money laundering, sanctions evasion, market manipulation, or fraud.
• Connect a Trading Account you do not own or lawfully control.
• Provide API keys with withdrawal/transfer permission.
• Attempt to gain unauthorized access to the Service, other users' data, or underlying infrastructure; probe, scan, or test the vulnerability of the Service without written authorization.
• Reverse engineer, decompile, or extract source code, Bot logic, or models, except to the extent permitted by law.
• Interfere with, overload, or disrupt the Service (including denial-of-service or excessive automated requests outside documented APIs).
• Resell, sublicense, or provide the Service to third parties without our written consent.
• Circumvent geo-blocking, metering, fee, or security controls.

10. Intellectual Property

The Service, including its software, Bots, models, designs, trademarks, and documentation, is owned by StrategyBox or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of your own data and Trading Account. You grant us a license to process your data solely to operate and improve the Service as described in the Privacy Policy.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law or a broker/exchange, if we reasonably suspect fraud or security risk, or if we discontinue the Service. Upon termination, running Deployments will be safe-stopped, outstanding Fees remain due, and Sections that by their nature should survive (including 6, 7, 10, 12–15) survive termination.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR PROFITABLE. WE DO NOT WARRANT THE PERFORMANCE OF ANY BOT OR ANY TRADING RESULT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATEGYBOX AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE [PLACEHOLDER: e.g., three (3)] MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless StrategyBox and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your Trading Account and trades placed on it; (c) your breach of these Terms or applicable law; or (d) your violation of any third-party rights, including your broker/exchange terms.

15. Governing Law & Dispute Resolution
